Terms and Conditions

This agreement applies as between you (the User) and this Website Owner. Your agreement to comply with and be bound by these Terms and Conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately. By using the Website, you agree to be bound by these Terms and Conditions and to use the Website in accordance with these Terms and Conditions, including the Website’s Privacy Policy and any additional terms and conditions that may apply to specific sections of the Website or to products and services available through the Website or from the Website Owner. Accessing the Website, in any manner, whether automated or otherwise, constitutes use of the Website and your agreement to be bound by these Terms and Conditions.

 

Definitions and Interpretation

In this Agreement the following terms shall have the following meanings:

 

“Certified Advisor”

means a Clinic Toolkit™ Certified Advisor: a graduate of The Health Sciences Academy who is eligible to purchase a Clinic Toolkit™ Subscription and who maintains a paid, valid and active Certified Advisor account for a Subscription Fee;

“Client”

means a Clinic Toolkit™ Client: a client of a Certified Advisor, who has been rightfully invited by a Certified Advisor to access a Client Clinic Toolkit™ account for personal (non-commercial) purposes only;

“Account”

means the personal information, Payment Information and credentials used by Users to access the specified Paid Content, Services or communications System on the Website;

Content

means any text, graphics, designs, images, audio, video, documents, materials, files, reports, emails, templates, software, data compilations, messages, polls, forms, and any other form of information capable of being stored in a computer that appears on or forms part of this Website or its communications System;

“Free Content”

means any Content or System that is accessible without the payment of a Purchase Price or Subscription Fee;

“Learning Establishment”

means any provider of education to persons of any age including, but not limited to, schools, colleges, universities and professional / adult education providers;

“Website Owner

means The Health Sciences Academy Ltd, its registered office at Suite 14, Fulham Business Exchange, London SW6 2TL, England, United Kingdom. Other uses include “The Health Sciences Academy”, “us” and “our”;

“Paid Content”

means any content, documentation, templates, emails, forms, services, account, Clinic Toolkit™ Subscription, and / or system accessible only upon the payment of the Purchase Price or a Subscription Fee, via a monetary payment, valid vouchers, store credit, manual allocation, student scholarship, educational subsidies, or a combination of these;

Service” / “Services”

means any content, documentation, templates, emails, forms, Clinic Toolkit™ Subscription, online or offline services, products, information, subscriptions, goods, communications, emails, electronic messages, membership, forums, materials, web page access, online facilities, individual or group coaching, events, workshops, seminars, training programs, distance learning education, polls, forms, questionnaires, reports, multi-media downloads, content access, live and on demand support from our team, manual services, or any other online or offline tools or services, including those that the Website Owner and its representatives make available for a Purchase Price or Subscription Fee through the Website either now or in the future;

“Subscription Fee”

means the sum of money paid by a Certified Advisor, one-off or at intervals, via a monetary payment, valid vouchers, store credit, manual allocation, or a combination of these, to enable them to access the specified Services, Paid Content, and Systems and/or to activate or keep their Account active;

“Subscription Period”

means the period for which a subscription has been purchased, which period shall vary as specified on the materials of the relevant Service, Paid Content, System access and/or Account type;

System” / “Systems”

means any online communications infrastructure that the Website Owner makes available through the Website either now or in the future. This includes, but is not limited to, web-based email, newsletters, message boards, live chat facilities, forums, comments areas, and email links. Certain Systems constitute Paid Content or Services when they are instrumental to the delivery or availability of such Paid Content or Services;

“User” / “Users”

means any third party that accesses the Website and is not employed by the Website Owner and acting in the course of their employment, including but not limited to browsers and/or students registered with The Health Sciences Academy;

“Website”

means the website that you are currently using (https://clinictoolkit.com) and any sub-domains of this site and/or other related websites (e.g. http://thehealthsciencesacademy.org/) owned by the Website Owner, unless expressly excluded by their own terms and conditions. Includes all online materials, free and paid content, downloadable files, forms, reports, emails, documentation, educational materials, quizzes, polls, questionnaires, systems, source code, templates, software, and intellectual property;

“Purchase Price”

means the sum of money paid by a Certified Advisor, one-off or at intervals, via a monetary payment, valid vouchers, store credit or a combination of these, to enable them to access the specified Paid Content, Service and/or System;

“Payment Information”

means any details required for the purchase of any Service, Paid Content and/or System access from this Website. This includes, but is not limited to, credit / debit card numbers, bank account numbers and sort codes; and

“Purchase Information”

means any orders, invoices, receipts or similar that may be in hard copy or electronic form.

Intellectual Property Rights

You may NOT copy, adapt, re-purpose, re-use, distribute, deconstruct, reproduce, blog, teach, re-write, store, transmit, share, publish, exploit, sell, or in any other fashion re-use material, content or software from the Website or from our Clinic Toolkit™ unless otherwise indicated on the Website or unless given express written permission to do so by the Website Owner. Violation of this rule breaches our non-disclosure terms, constitutes plagiarism and is an egregious violation of our intellectual property rights.

THE USE OF OUR CONTENT, FORMS AND MATERIALS, EXCEPT AS PERMITTED IN THIS AGREEMENT, IS STRICTLY PROHIBITED AND INFRINGES ON THE CONFIDENTIALITY AND INTELLECTUAL PROPERTY RIGHTS OF THE HEALTH SCIENCES ACADEMY AND OTHERS, AND MAY SUBJECT YOU TO CRIMINAL PROSECUTION, IMPRISONMENT, CRIMINAL AND LEGAL PENALTIES, AS WELL AS DAMAGES (INCLUDING AGGRAVATED AND EXEMPLARY DAMAGES), AND OTHER CIVIL AND COMMERCIAL LEGAL ACTIONS, FOR CONFIDENTIALITY, COPYRIGHT AND OTHER INTELLECTUAL PROPERTY INFRINGEMENT.

If you violate or are caught violating our intellectual property, or display any likelihood of violating it, we will take immediate legal action and seek compensation for damages. Violation of our intellectual property is also grounds for immediate and permanent termination without notice, expulsion without a refund, and revocation of all access and certifications earned.

All Content included on the Website, including, but not limited to, forms, templates, text, emails, documentation, graphics, logos, icons, images, data files, sound clips, video clips, data compilations, page layout, quizzes, polls, underlying code and software is the property of the Website Owner, our affiliates, or other relevant third parties. By continuing to use the Website you acknowledge that such material is protected by applicable United Kingdom and International intellectual property and other laws.

“Intellectual Property Rights” means free or paid content, trade secrets, know-how, service marks, rights in logos, rights in get-up, trade names, internet domain names, rights in designs, software, copyright (including rights in computer software) and moral rights, database rights, semi-conductor topography rights, utility models, service models, processes, rights in know-how, patents, trademarks, and other intellectual property rights, in each case whether registered or unregistered, and all rights or forms of protection having equivalent or similar effect anywhere in the world and registered includes registrations and applications for registration.

Where expressly indicated, certain Content and the Intellectual Property Rights subsisting therein belongs to other parties. This Content, unless expressly stated to be so, is not covered by any permission granted by these Terms and Conditions to use Content from the Website. Unless otherwise expressly indicated, all Intellectual Property rights including, but not limited to, Copyright and Trademarks, in product images and descriptions belong to the manufacturers or distributors of such services or products as may be applicable. You may NOT use, reproduce, copy, exploit, sell or in any other fashion re-use such material unless otherwise indicated on the Website or unless given express written permission to do so by the relevant manufacturer or supplier.

 

Age Restrictions

Persons under the age of 16 should use this Website only with the supervision of an Adult. Payment Information must be provided by an Adult.

 

No Personal Account Sharing

You may NOT share your own account access details, forms or documentation with anyone.

Your individual account, forms and content are for you only.

Violation of this rule breaches our non-disclosure terms and is grounds for immediate and permanent termination without notice, expulsion without a refund, and revocation of all access and/or certifications earned.

IMPORTANT WARNING: Our technology allows us to see “irregular user activity” – such as repeated submissions or simultaneous logins from different locations and devices – and we will act upon it.

 

Prohibition to Replicate the Clinic Toolkit™

You are not allowed to use or adapt our proprietary questionnaires, forms and materials to develop or enhance your own software or website tools.

Recreating, replicating or adapting them to develop or enhance your own software, online forms or mobile apps is strictly prohibited and constitutes plagiarism.

The forms and documents in the Clinic Toolkit™ cannot be re-written and developed into any software by you or by any third party.

The only route to offer our forms to others is via a paid subscription to our Clinic Toolkit™. Contact us immediately if you have any questions on this.

You must never replicate or offer our forms and questionnaires online for free to funnel website visitors. This constitutes a severe violation of our intellectual property.

If you violate or are caught violating our intellectual property, or display any likelihood of violating it, we will take immediate legal action and seek compensation for damages.

 

Prohibition to Compete or Reproduce our Forms

You are prohibited to replicate, copy, modify, improve, expand, amend, re-write, re-purpose, replicate, translate, reproduce, perform, store, transmit, publish, re-sell or exploit our Clinic Toolkit™, forms, templates, methods, know-how, way of packaging or structuring information, service models, website, interactive features, way of working, processes, systems, editorial rights, copyrights and intellectual property rights, in whole or in part, in any shape or form.

You are prohibited to enter into, start, develop or expand a similar trade in competition against The Health Sciences Academy or the Clinic Toolkit™, directly or indirectly, in whole or in part, now or anytime in the future.

You are prohibited to use or copy the Clinic Toolkit™ (or documentation) to deliver any training, service or product that directly or indirectly competes with the interests of The Health Sciences Academy.

If you violate or are caught violating these terms, or display any likelihood of violating them, we will take immediate legal action and seek compensation for damages.

Certified Advisor Clinic Toolkit™ Subscription

Subject to eligibility, your timely payment of the monthly or annual Subscription Fee, for the Account Type, currency and amount advertised on the Website, will allow you to access the relevant Clinic Toolkit™ you subscribed to, only for the duration of the relevant subscription period.

Your access to this service and any forms available in the relevant Clinic Toolkit™ you subscribed to will instantly cease upon cancellation or termination of your subscription.

The cancellation or termination of a monthly or annual Clinic Toolkit™ Subscription shall NOT entitle you to any full or partial refund of any previously paid Subscription Fee.

You may upgrade from a monthly to an annual Clinic Toolkit™ Subscription at any time through the payment of the annual Subscription Fee for the Account Type that applies to you at that time. Such upgrade shall NOT entitle you to any full or partial refund of any previously paid Subscription Fee.

You may downgrade from an annual to a monthly Clinic Toolkit™ Subscription at any time through the payment of the monthly Subscription Fee for the Account Type that applies to you at that time. Such downgrade shall NOT entitle you to any full or partial refund of any previously paid Subscription Fee.

 

Certified Advisor Account Types

There are two Clinic Toolkit™ Subscription Account Types available to an eligible Certified Advisor:

  • Starter Account Type, which can only be purchased by graduates of the corresponding paid course with The Health Sciences Academy and provides you with your own Certified Advisor account plus 10 Client accounts per year, which will only be active and accessible during your Paid Subscription period.
  • Professional Account Type, which can only be purchased by graduates of the corresponding paid course with The Health Sciences Academy and provides you with your own Certified Advisor account plus unlimited Client accounts per year, which will only be active and accessible during your Paid Subscription period. You must first purchase a Professional Account Type AND then complete this Group Program Approval Form if you wish to use the Clinic Toolkit™ (or documentation) to provide group services or group programs.

If at any time during a paid, valid and active Starter Account Type Clinic Toolkit™ Subscription, you upgrade to a Professional Account Type Clinic Toolkit™ Subscription, you shall NOT be entitled to any full or partial refund of any previously paid Subscription Fee.

 

Certified Advisor Devices

You are allowed to access your individual Clinic Toolkit™ account from 3 different devices only (such as a desktop, tablet and mobile) for your own personal use and you may not share your own Certified Advisor account with anyone else.

IMPORTANT WARNING: Our technology allows us to see “irregular user activity” – such as repeated submissions or simultaneous logins from different locations and devices – and we will act upon it.

 

Clinic Toolkit™ Corporate Accounts

The Certified Advisor account is an individual purchase for you only.

If you would like to share access with colleagues, a business partner or collaborator, each of you will need to purchase the Clinic Toolkit™ Subscription individually.

Additionally, if you are interested in having your assistant or your entire team access the automated forms, a separate Clinic Toolkit™ Subscription will need to be purchased for each participating member.

 

Certified Advisor Prohibitions

You may NOT (and may NOT allow anyone else to) :

  1. offer or facilitate the use of the Clinic Toolkit™ by any person without your own supervision and dedicated support (technical and otherwise)
  2. offer access to the Clinic Toolkit™ to anyone, for free (such as a taster), whether in part or whole, to funnel your website visitors into paying clients; the Clinic Toolkit™ is a premium service that requires your dedicated support and one-to-one advice to any of its users and we strongly encourage you to charge for this accordingly
  3. post your Unique Invitation Code or your personal account details online, on a public website, blog, forum, group, webinar or video, or social media
  4. share a direct link to the Clinic Toolkit™ online, on a public website, blog, forum, group, webinar or video, or social media
  5. offer access to the Clinic Toolkit™ to a group of people for free or without any direct or indirect charge
  6. offer access to the Clinic Toolkit™ to your group program clients without having obtained our Group Program Approval
  7. copy, share or use the Clinic Toolkit™ Subscription (or documentation) in any manner that is not expressly allowed by The Health Sciences Academy
  8. copy, share, use or disclose the Clinic Toolkit™ Subscription, forms, or documentation for any public, editorial or commercial purpose that is not expressly permitted by us, including but not limited to the creation of press articles, reviews or commentaries about the Clinic Toolkit™, The Health Sciences Academy, or any of their staff, users, associated parties or Certified Advisors
  9. distribute, alter or adapt any copy of the forms generated by the Clinic Toolkit™
  10. allow anyone other than you to have access to or use your Certified Advisor account
  11. use the Clinic Toolkit™, forms or content to develop or enhance any product that directly or indirectly competes with a service or product of The Health Sciences Academy
  12. modify or create a derivative work of any part of the Clinic Toolkit™, forms, emails, content or documentation
  13. plagiarise, copy or replicate our proprietary forms, templates and software
  14. disclose, create or publish a commentary on, or teach the content and proprietary methodology of a Clinic Toolkit™
  15. use the Clinic Toolkit™ Subscription (or documentation) in the development of any product if the failure or malfunction of that product could reasonably be expected to result in personal injury, death, or catastrophic loss

We have a NO refund policy on any Clinic Toolkit™ Subscription, Certified Advisor account or Client account. We do this, because any Clinic Toolkit™ and its documentation is made instantly available. This allows us to help fight fraudulent activity and plagiarism.

Copying, sharing, using or disclosing, whether in whole or in part, the Clinic Toolkit™ Subscription, forms or documentation for any public, editorial or commercial purpose that is not expressly permitted by us will subject you to a penalty of a minimum of GBP 1000 per day for each day where you copy, use, share or disclose the Clinic Toolkit™ Subscription, forms or documentation, in whole or in part, in addition to any applicable costs and compensation for damages.

All subscription terms and Terms and Conditions apply.

 

Certified Advisor Eligibility Limitations

A Clinic Toolkit™ Subscription can only be purchased by graduates of the corresponding paid course with The Health Sciences Academy.

In order to be eligible to the relevant Clinic Toolkit™, you must first graduate from its corresponding course and complete the Professional Add-on Module for such course.

Only those who complete their course-specific Professional Add-on Module are eligible to:

  • be registered as a Clinic Toolkit™ Certified Advisor, and / or
  • be listed and registered in The Health Sciences Academy Professional Directory.

Before using the Clinic Toolkit™ with others, it is your sole responsibility to observe all applicable laws in your jurisdiction and to obtain professional membership and adequate insurance to practise.

 

Certified Advisor Professional Considerations

As a Clinic Toolkit™ Certified Advisor, you agree that you alone are responsible for your own professional liability, public liability, product liability, and any liability derived from your own direct and/or indirect actions or omissions. You also agree that you alone are responsible for your own compliance with, and understanding and research of, all regulatory, legal, tax, accounting, business, insurance, and professional rules, regulations and requirements.

You alone are responsible and accountable for your decisions, actions, omissions and results in life, in health and in business, and by your use of the Website, its Content, Services or Systems, you agree not to attempt to hold us liable for any such decisions, actions, omission, or results, at any time, under any circumstance.

You should always work ethically, professionally and within the law, and be aware of, and comply with, tax and National Insurance costs.

Once you have completed your course with The Health Sciences Academy, and before providing advise to other persons, being paying clients or not, you should look into all regulatory, professional, legal, tax, accounting, insurance, and business requirements. It is therefore key that you consult with an accountant, legal, tax, or any other such professional to obtain further assistance in order to set up and conduct your practice or to advise other persons, being paying clients or not.

Provided that you obtain adequate insurance to practise, and that you thoroughly observe and comply with all the relevant regulatory, professional, legal, tax, accounting, insurance, and business requirements, you may be able to:

  • Educate and appraise a person about their health in general
  • Address a person’s health goals and put forward personalised suggestions
  • Provide guidelines for safe nutrient intake
  • Provide guidelines for a balanced intake of nutrients, hydration, physical activity, stress management, and habit-forming
  • Inform about the benefits of proper hydration and the risks of dehydration
  • Encourage a person to follow a varied diet and healthy lifestyle
  • Share safe nutritional approaches and ideas to support health and well-being
  • Check on food intake through questions and dietary journals
  • Follow up on a person’s nutritional, lifestyle and/or health improvements
  • Adjust an eating or supplementary plan where necessary, and where allowed, depending on your course limitations
  • Inform about bad combinations and contraindications of certain nutrients
  • Inform about the benefits of proper nutrition, exercise, sleep, and self-care
  • Demonstrate health-promoting grocery shopping habits, healthy home-cooking and food preparation practices
  • Work with a person to implement strategies for new healthy habits to stick
  • Monitor a person’s body composition changes

IMPORTANT: The courses provided by The Health Sciences Academy are custom-built and do NOT replace, or equate to, a university qualification. Therefore, you may NOT mislead or misinform others about that.

You MUST always act ethically and responsibly, including, but not limited to, the following:

  • You may NOT practise, market your services, or take on clients without having adequate indemnity insurance cover
  • You may NOT guarantee: weight changes, body composition changes, peak performance, healing, treatment, therapy, and/or fitness or health improvements through nutrition, supplements, products, services, exercise and/or lifestyle modifications
  • You may NOT exaggerate or misinform about the health effects of certain foods, products, services, or lifestyle modifications
  • You may NOT recommend supplements as a substitution for a varied diet or medical treatment
  • You may NOT recommend banned or illegal substances
  • You may NOT diagnose medical conditions, prescribe treatment, dispense or replace a medical doctor’s advice
  • You may NOT “diagnose” a deficiency, a nutrient status, a health status, a health effect, a symptom, or an ailment
  • You may NOT replace medical advice NOR provide substitution for the care of disease through a medical provider
  • You may NOT “prescribe” diets, supplements, products, services, or lifestyle modifications, NOR recommend them as “treatment” or “therapy”, NOR “treat” with or through them
  • You may NOT advise a person to stop taking prescribed medicine
  • You may NOT treat an illness or injury through over-the-counter products, herbs or supplements
  • You may NOT divulge confidential information about someone’s health or personal matters to third parties
  • You may NOT call yourself “doctor”, “medical therapist”, “medical nutritional therapist”, “nutritionist”, “registered nutritionist”, “licensed nutritionist”, “dietitian”, “licensed dietitian”, “registered dietitian”, “accredited dietitian”, “nutrition counselor”, “licensed nutrition counselor”, or “registered nutrition counselor” unless you obtain the relevant university qualification and/or its government-regulated licensure
  • You may NOT refer to your client as your “patient”, or to your services as “treatment” or “prescription”, or to your assessments as “diagnosis”
  • You MUST observe all legal, tax, professional, commercial and regulatory requirements that apply in your country
  • You may NOT act for, in the name of, or on behalf of The Health Sciences Academy; this is strictly prohibited
  • You MUST work in collaboration with a Medical Doctor or licensed health professional if your client answers “yes” to any of the questions in the Client Health Check Questionnaire

 

No Commercial or Professional Association

The Health Sciences Academy has NO commercial or professional association with you or your practice, and you must be clear about this with others, including your prospects and your Clients.

You are NOT a representative, delegate, agent or employee of The Health Sciences Academy or the Clinic Toolkit™, thus you are NOT permitted to act for, in the name of, or on behalf of The Health Sciences Academy or the Clinic Toolkit™.

Any content selected or inserted into the Clinic Toolkit™ website by you as a Certified Advisor is your own responsibility and should not be deemed as endorsed by The Health Sciences Academy, thus you agree that you alone are responsible for its completeness, safety, accuracy, or background research and you agree to hold the The Health Sciences Academy and their representatives harmless for claims or damages. The same rule applies to any written or verbal advice, recommendation or work provided by you as a Certified Advisor.

 

Limitation to Use the Clinic Toolkit™ in a One-to-One Setting

The use of the Clinic Toolkit™ by your clients ALWAYS requires your supervision and dedicated support (technical and otherwise).

With the Starter Account Type, you may use the Clinic Toolkit™ with an acquaintance or with a client in a one-to-one setting only, and NOT for group programs, group coaching, or group services.

 

Clinic Toolkit™ Group Program Approval

You must purchase a Professional Account Type in order to be authorised to use the Clinic Toolkit™ in group sessions, workshops, seminars, online group programs, membership sites and/or any means of replacing one-to-one support by group support.

We are passionate about our graduates growing their businesses and if you are interested in using a Clinic Toolkit™ beyond one-to-one settings, please click HERE to complete this Group Program Approval Form once you have purchased your Professional Account Type. In the meantime, you must adhere to these Terms and Conditions and comply with the limitation to use the Clinic Toolkit™ in a one-to-one setting only, and advertise this accordingly.

The use of the Clinic Toolkit™ by your group participants ALWAYS requires your supervision and dedicated support (technical and otherwise).

Delivering the Clinic Toolkit™ to a group of people for free or without a direct or indirect charge to your group participants is strictly PROHIBITED.

 

Earnings Disclaimer

When addressing financial matters in the Website, its Content, Services, communication Systems, videos, newsletters or other online and offline facilities, the Website Owner and its representatives have taken reasonable effort to ensure we accurately represent our programs. However, there is no guarantee that you will get any results or earn any money using any of our ideas, tools, strategies or recommendations. Nothing on the Website is a promise or guarantee of earnings. Your level of success in attaining similar results is dependent upon a combination of factors including your skill, knowledge, ability, dedication, business savvy, network, experience, and financial situation, to name a few. Because these factors differ from person to person, we cannot and do not guarantee your success, income level, professional position or ability to earn revenue. You alone are responsible for your actions and results in life and business. Any forward-looking statements outlined on the Website are simply our opinion and thus are not guarantees or promises for actual performance. Limitation of Support

Where indicated, a Clinic Toolkit™ Subscription may include Technical Support just to the Certified Advisor (but NEVER to their Clients), and only during a valid and active Paid Subscription period held by the Certified Advisor. Technical Support excludes client or personal advice, system enhancements, or requests for changes.

Your Clinic Toolkit™ Subscription or account access does NOT include consultancy, advice, research, supervision, guidance, or support (personal, professional, commercial, or otherwise) by The Health Sciences Academy.

It is the sole responsibility of the Certified Advisor to provide technical and personal support and guidance to their Clients before, during and after their registration and use of the Clinic Toolkit™.

 

Unique Invitation Code Policy

The following rules apply to the Unique Invitation Code assigned to the Certified Advisor upon successful Clinic Toolkit™ registration:

  1. Posting a Unique Invitation Code in a public website or social media is strictly prohibited.
  2. You may NOT offer a Unique Invitation Code “for free” in a mass marketing email or on a public website.
  3. You may NOT offer a Unique Invitation Code for the use of the Clinic Toolkit™ by anyone.
  4. A Unique Invitation Code may NEVER be offered without the supervision and support (technical and otherwise) of a Certified Advisor.
  5. If we detect abusive use of your Unique Invitation Code, your account will be closed immediately without notice and without any kind of refund.
  6. The provision of a Unique Invitation Code should be always done via a private communication system or through a password-protected membership area; other methods of transmission are strictly prohibited.
